I. Pembentukan Tim IPO Internal

Proses go public memerlukan proses yang meliputi beberapa aspek, sehingga pembentukan tim IPO yang kuat merupakan hal yang cukup penting. Tim internal sebaiknya terdiri dari orang-orang yang menguasai aspek keuangan dan aspek legal. Tim ini akan bekerjasama dengan para profesional yang ditunjuk perusahaan untuk membantu proses IPO, khususnya dalam mempersiapkan dokumen prospektus.

II. Pertimbangan Awal

Beberapa hal berikut ini perlu dipertimbangkan pada tahap-tahap awal:

  1. Berapa kisaran dana yang dibutuhkan perusahaan dari IPO? Hal ini perlu disinergikan dengan rencana bisnis perusahaan.
  2. Berapa persentase kepemilikan publik maksimal yang diinginkan oleh para pemegang saham pendiri? Pada kebanyakan perusahaan, pemegang saham pendiri menginginkan untuk tetap menjadi pemegang saham pengendali perusahaan. Di sisi lain, semakin besar persentase kepemilikan publik, saham perusahaan akan   cenderung lebih aktif diperdagangkan di Bursa Efek Indonesia sehingga risiko likuiditas bagi investor akan lebih rendah.
  3. Untuk suatu grup perusahaan yang memiliki banyak anak usaha dan terdiri dari beberapa lini bisnis, beberapa hal perlu dipertimbangkan:
    • Perusahaan mana yang akan ditawarkan sahamnya kepada publik?
    • Apakah perlu ada spin-off, merger, akuisisi, atau divestasi aset sebelum melakukan penawaran umum?

    Semakin besar nilai perusahaan yang sahamnya dijual kepada publik, pada umumnya akan relatif lebih menarik minat investor.

  4. Apakah terdapat ketentuan perijinan dalam peraturan, perjanjian atau hal-hal lainnya yang perlu ditindaklanjuti atau dilakukan amandemen sebelum IPO?
  5. Apakah terdapat permasalahan signifikan, misalnya permasalahan hukum yang dapat mengganggu kelangsungan usaha perusahaan dan diperkirakan dapat mengganggu proses IPO?
  6. Apakah perusahaan perlu melakukan perubahan atas susunan direksi dan/atau komisaris perusahaan?

III. Penunjukan Profesional Eksternal

Untuk membantu perusahaan dalam proses IPO, perusahaan perlu melakukan seleksi atas beberapa pihak sebagai berikut:

  1. Penjamin Emisi Efek (underwriter) yang akan membantu menawarkan saham perusahaan kepada investor;
  2. Akuntan Publik yang akan melakukan audit atas laporan keuangan perusahaan;
  3. Konsultan Hukum yang akan melakukan pemeriksaan dari segi hukum dan memberikan pendapat hukum;
  4. Notaris yang akan membantu dalam melakukan perubahan Anggaran Dasar, membuat akte-akte dan perjanjian-perjanjian;
  5. Penilai, apabila perusahaan memiliki aset tetap berupa tanah atau bangunan yang perlu dinilai oleh penilai independen;
  6. Biro Administrasi Efek yang akan membantu melakukan administrasi kepemilikan saham perusahaan.

Seleksi yang dilakukan perusahaan sebaiknya mempertimbangkan rekam jejak dan reputasi para profesional tersebut dalam membantu proses IPO pada perusahaan lainnya serta besarnya biaya yang diajukan masing-masing profesional. Perusahaan juga perlu memastikan bahwa profesional yang ditunjuk adalah profesi penunjang pasar modal yang telah terdaftar di OJK.

IV. RUPS dan Perubahan Anggaran Dasar

Dalam tahap persiapan ini, perusahaan mengadakan RUPS untuk memperoleh persetujuan go public dari seluruh pemegang saham dan penetapan berapa jumlah saham yang akan ditawarkan kepada publik. Perusahaan juga perlu melakukan perubahan Anggaran Dasar dari PT tertutup menjadi PT terbuka. Selain itu, perusahaan juga perlu membentuk Sekretaris Perusahaan, Audit Internal, dan Komite Audit, jika belum ada sebelumnya.

V. Mempersiapkan Dokumen

Untuk go public dan mencatatkan sahamnya di Bursa Efek Indonesia, perusahaan terlebih dahulu menyampaikan Pernyataan Pendaftaran kepada OJK dan permohonan pencatatan saham kepada Bursa Efek Indonesia, dengan mempersiapkan antara lain beberapa dokumen berikut ini:

  1. Profil perusahaan, informasi tentang rencana IPO, underwriter, dan profesi penunjang;
  2. Pendapat dan laporan pemeriksaan dari segi hukum dari Konsultan Hukum;
  3. Laporan Keuangan yang diaudit Akuntan Publik;
  4. Laporan Penilai (jika ada);
  5. Anggaran Dasar perusahaan terbuka perusahaan yang telah disetujui Menteri Hukum dan HAM;
  6. Prospektus, yang berisikan antara lain informasi yang terdapat pada dokumen a. sampai dengan e. di atas;
  7. Proyeksi keuangan

 I. Forming an Internal IPO Team

The process of going public requires processes that  incorporates several aspects and it is essential to have a strong internal IPO team. The team must consist of individuals with financial and legal expertise. This team will collaborate with external professionals who are appointed to assist in the process of IPO, particularly in preparing the prospectus and other related documents. 

II. Early Consideration

Some of the following matters need to be considered at the earliest stages:

  1. How much is the range of funds needed from the company’s IPO? This matter needs to be synergized with the company’s business plan.
  2. What is the maximum percentage of public ownership desired by the founding shareholders? In most companies, the founding shareholders want to remain the controlling shareholder of the company. On the other hand, the greater the percentage of public ownership is, the more active the trading of the company’s shares on the Indonesia Stock Exchange will be, and this reduces the liquidity risk for the investor.
  3. For a group of companies which own many subsidiaries and consist of several lines of business, some things need to be considered:
  4. Which companies will offer their shares to the public?
  5. Is there a need for a spin-off, merger, acquisition or divestiture of assets prior to doing a public offering? Generally, the greater the value of the company whose shares are sold to the public, the more attractive it is to investor interests.
  6. Whether there are any provisions in the regulations, licensing agreements or other things that need to be acted upon or amended prior to the IPO?
  7. Are there any significant problems, such as legal issues that can disrupt business continuity of the company and can interrupt the IPO process?
  8. Does the company need to make changes to the composition of the Board of Directors and/or Commissioners of the company?

II. The Appointment of External Professionals

To assist companies in the IPO process, companies need to select the parties as follows:

  1. The Underwriter which will assist inoffering the company’s shares to investors;
  2. public accountant that will perform an audit of the company’s financial statements;
  3. Legal consultants which will conduct the examination of legal aspects and provide legal consultations;
  4. Notary who will assist in changing the Articles of Association, making certificates and agreements;
  5. Appraiser, if the company owns fixed assets like lands or buildings that need to be assessed by an independent assessor;
  6. Administrative Bureau which will assist in performing administration of the company’s share ownership.

During the selection process, the company should consider the track record and reputation of those professionals in assisting the IPO process for other companies as well as the cost proposed by each professional. The company also needs to ensure that the appointed professionals are the certified capital market supporting professional registered at the Indonesia Financial Authority (OJK).

IV. AGM and Changes in the Articles of Association

During the preparation process, the company will hold an AGM to obtain consent to go public from all shareholders and to determine the number of shares that will be offered to the public. The company also needs to modify the Articles of Association from a private company to a public company. In addition, the company also needs to form a Corporate Secretary, Internal Audit and Audit Committee. 

V. Preparing Documents

In order to go public and become listed at the Indonesia Stock Exchange, the company will initially deliver a registration statement to the Indonesia Financial Authority (OJK) and listing application to the Indonesia Stock Exchange, by preparing several documents, including the following:

  1. The Company Profile, information regarding IPO plans, Underwriter and information on the external capital market supporting professionals.
  2. Legal opinion reports from a legal consultant.
  3. The audited financial statements from the public accountant.
  4. The Appraisal Report (if available).
  5. The Company’s Articles of the Association of Public Company which has been approved by the Minister of Justice and Human Rights.
  6. Prospectus, which contains the information contained in document a. up to e. above.
  7. Financial projections
